Query the FinCEN Beneficial Ownership IT (BOIT) system to understand current foreign-entity BOI reporting obligations

Steps

1. Review the March 26 2025 interim final rule (Federal Register 2025-05199): as of that date, domestic U.S. entities are fully exempt from BOI reporting; only foreign entities registered to do business in a U.S. state or tribal jurisdiction remain subject to reporting
2. For covered foreign entities, submit initial BOI reports via the BOI E-Filing system at https://boiefiling.fincen.gov using the structured XML filing format or the web-based BOIR form
3. Populate required fields: legal entity name, jurisdiction of formation, EIN or foreign TIN, U.S. registered agent address, and for each beneficial owner: full legal name, date of birth, residential address, and unique identifying document number
4. For entities registered in the U.S. before March 26 2025, the filing deadline was April 25 2025; for entities registered on or after March 26 2025, the deadline is 30 calendar days from effective registration
5. Update filings within 30 days of any change to reported beneficial owner information (name, address, document number)
6. For third-party filing on behalf of a client, use the third-party preparer fields in the BOIR XML schema and retain a copy of the executed authorization document
