Steps

  1. Confirm the entity qualifies as a 'reporting company' under FinCEN's March 2025 interim final rule, which now limits BOI reporting to entities formed under foreign law that have registered to do business in a US state or tribal jurisdiction (domestic US entities and US persons are exempt)
  2. Contact FinCEN to be onboarded for system-to-system API transmission to the BOI E-Filing System (boiefiling.fincen.gov), which also supports PDF-upload and web-based filing as alternatives
  3. Prepare beneficial ownership data (legal name, date of birth, address, unique identifying number from an acceptable ID document) and company applicant information per the BOIR data fields
  4. Submit the report via the API or through the web portal and capture the confirmation with its unique transcript identifier
  5. Track the filing deadline: 30 calendar days after registration becomes effective for newly registered foreign reporting companies (companies registered before March 26, 2025 had until April 25, 2025)
